Terms and conditions of service for website design, software, app development, and maintenance-related services
1. Taxes: 18% GST will be extra for Indian customers.
2. International payments and taxes Deduction: International taxes will not be charged to Naim-IT account. If a customer initiates payments from outside India ,If there are any local taxes or fees, they will be paid for by the client and will not be included in the price we agreed on for the project.
3. Payment Terms: 50% advance or milestone wise and balance before going live.
4. Termination: Either party can end the arrangement with three month’s written notice. If one party doesn’t give written notice, the other will be charged a three-month proportionate fee. Clients also agree they will not directly or indirectly, employ , hire or offer contracts to employees of Naim-IT. In case of breach of contract, the client agrees to pay his 12 months salary to Naim-IT.
5. Payment Methods: NEFT, RTGS, Cheque, Debit, and Credit Cards. If the client pays us through PayPal , credit card an additional 5% cost applicable.
6. Late Fees: All outstanding invoices will incur a late payment fee of 0.5% per day of the due amount and an administration fee of Rs. 2000 per month, starting from the due date. Late fees charges shall start levying after seven days, commencing from the due-date of the invoice under payment
7. Any reworkon an already approved and completed task will attract additional charges. Any changes in the design after the design approval will incur additional charges.
8. Refund:Naim-IT Consultancy Pvt. Ltd. reserves the right to negotiate and refund appropriate portions of the amount paid by the customer towards the requested service. If you cancel your order after making the payment but before the work has commenced, we will refund 50% of the payment that you have already made. If the order is canceled after the commencement of work, there will be no refunds or adjustments. All cancellations must be received in writing and can be sent via regular mail. Telephone requests for cancellations will not be accepted.
9. Stalling of the project: Please note that at any stage during the project, stalling the project for over one calendar month may delay the project and proposed timeframes and incur additional costs. Naim-IT will charge project delay fees of 10% of the total project cost every month as impact fees for delays from clients.
10. The client also agrees that the work done on their website could be shown in an Naim-IT portfolio.
11. The client will allow us to put design credit line at the bottom of website. If the client doesn’t want to ,the client is agreed to pay an additional 20 % of total project cost. The client also agrees that the website developed for the client may be presented in Naim-IT portfolio.
12. Contents :
Website/application content and all related materials need to be provided to us within the first two weeks of starting the project. Any delays thereafter may delay the project and may incur additional charges if it goes beyond reasonable timeframes.
13. Turnaround Time
The maximum turnover around time for each other to revert is 2 weeks.
14. Depending on
the functionalities required, there may be third-party components, such as third-party payment gateways or plugin certificates, involved in building a website or application. Although Naim-IT makes every effort to determine the suitability of any such component, any unexpected limitations of third-party components are beyond our control.
15. Naim-IT takes
no responsibility of any open source products such as WordPress, Open Source carts, Joomla etc It is clients responsibility to update all components and third party software’s. We suggest you take regular back-ups to avoid any disruptions.
16. The client must
ecognize that at times there may be unforeseen circumstances that will delay the development process, particularly with reference to the integration of third party software. We will try our best to complete the project as agreed in the proposal. As long as it is within a reasonable period, the client agrees not to penalize us for any genuine delay, when every effort to keep the project on the proposed schedule is taken.
17. Naim-IT
generally builds and tests the websites/applications on our own servers or hosted domains. Synapse cannot give access to their test servers and test websites to the clients or any third party. The website/application can be transferred-off to a nominated 3rd party server upon full payment of all invoices and dues.
18. The client also
agrees that the work handled for the client may be presented in Naim-IT portfolio.
19. Design Credit Line :
The client will allow us to put design credit line at the bottom of website. If the client doesn’t want to ,the client agrees to pay an additional 20 % of the total project cost. The client also agrees that the website developed for the client may be presented in Naim-IT portfolio.
20. Governing Law and Jurisdiction:
This shall be governed by and enforced as per the laws of India, with the place of jurisdiction being Navi Mumbai.
